Terms of Service

1. Agreement to these Terms
These Terms of Service (“Terms”) form a binding agreement between you and The Service Pulse (“we”, “us”). By creating an account, accessing our website at theservicepulse.io, or using the services provided through it (collectively, the “Service”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
The Service Pulse provides software that helps home service businesses respond to missed calls, qualify leads, schedule appointments, synchronize calendars, and request customer reviews. The Service is accessed through a web dashboard and by integration with telephony, calendar, email, and mapping providers.
3. Beta release
The Service is currently offered in a beta release. Features may change, break, or be removed. We may introduce usage limits, modify pricing, or discontinue the Service (in whole or in part) on reasonable notice. You acknowledge that data loss, downtime, and bugs are possible and that you accept the Service “as is” during this period.
4. Eligibility and accounts
- You must be at least 18 years old and authorized to bind the business you register on behalf of.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information when registering and to keep that information updated.
- You must promptly notify us of any unauthorized access to or use of your account.
5. Your customers and consent
When you use the Service to communicate with your customers (for example, by sending SMS, email, or scheduling appointments), you are the sender of those communications and are responsible for your customers’ relationship with you. You represent and warrant that:
- You have a lawful basis and, where required, the customer’s prior express consent to contact them through each channel you use.
- You will honor opt-out requests (including “STOP” replies to SMS) promptly and will not attempt to send further messages to a customer who has opted out.
- You will comply with all applicable laws and carrier rules governing electronic communications, including the TCPA, CAN-SPAM Act, CTIA Short Code Monitoring Handbook, and state-level consumer protection laws.
- You will not use the Service to send content that is unlawful, harassing, defamatory, deceptive, or otherwise objectionable.
6. Acceptable use
You may not, and will not permit any user to:
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
- Use the Service to send spam, phishing, malware, or high-volume unsolicited marketing traffic.
- Circumvent or attempt to circumvent access controls, rate limits, or multi-tenant isolation boundaries.
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures, without our prior written consent.
- Use the Service to violate the rights of any third party, including privacy and intellectual property rights.
- Resell, sublicense, or offer the Service to third parties as a standalone product.
7. Fees and billing
Fees, if any, will be disclosed to you at the time of sign-up or plan upgrade. Subscription fees are billed in advance on a recurring basis. Usage-based charges (such as SMS and phone-number costs passed through from our telecommunications providers) are billed in arrears. Fees are non-refundable except where required by law. You authorize us to charge your designated payment method for all amounts owed.
8. Third-party services
The Service integrates with third-party providers such as Clerk, Supabase, Twilio, Google, and Resend. Your use of those providers’ features through the Service is also subject to their own terms. We are not responsible for the availability, accuracy, or conduct of any third-party service.
9. Intellectual property
We retain all right, title, and interest in and to the Service, including all software, content, trademarks, and know-how. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You retain ownership of the data you submit to the Service (“Your Data”) and grant us a worldwide license to use Your Data solely to provide, maintain, and improve the Service.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You will defend, indemnify, and hold harmless The Service Pulse from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your or your users’ use of the Service; (c) your violation of any law or the rights of a third party; or (d) the content of any message you send through the Service.
13. Termination
You may terminate your account at any time by closing it from the dashboard or contacting us. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service to you poses a material risk to us or to other users. On termination, your right to use the Service will cease and, after a reasonable transition window, we will delete or return Your Data in accordance with our Privacy Policy. Sections intended by their nature to survive termination (including Sections 9–12, 14, and 15) will survive.
14. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Except for actions seeking injunctive relief, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction there.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Effective” date at the top of this page and, for material changes, notify active business customers by email or in-product notice. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
16. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
